These Terms of Service ("Terms") govern your use of all NeuroSync Technologies products and services, including the HEARTBEAT mobile application, VANTAGE, iXform, iDoAI, ASCEND, iNclus.ion, and our website at neurosync-technologies.ltd.
By downloading, installing, or using any NeuroSync Technologies product or service, you agree to these Terms. If you do not agree, do not use our products or services.

2. HEARTBEAT — Safety App Terms
2.1 Nature of the Service
HEARTBEAT is a personal safety assistance application that uses device sensors to detect falls and unusual inactivity, and alerts designated contacts when potential emergencies are detected. HEARTBEAT is designed to supplement — not replace — existing emergency response systems.
HEARTBEAT is not an emergency service. It does not connect you directly to emergency services, police, ambulance, or fire services. Detection depends on device sensors, network connectivity, and battery status. NeuroSync Technologies cannot guarantee detection of every fall, medical event, or emergency situation.
2.2 How Detection Works
HEARTBEAT uses accelerometer data, gyroscope readings, and inactivity monitoring to identify potential fall events. Detection is probabilistic — the app uses threshold-based algorithms that may produce false positives (alerts when no emergency exists) or false negatives (no alert when an emergency occurs). You and your designated contacts should understand this limitation before relying on the app.
2.3 Emergency Contacts
By designating someone as an emergency contact in HEARTBEAT, you confirm that you have obtained their explicit consent to receive alert notifications on your behalf. You must not add anyone as an emergency contact without their knowledge and agreement. Emergency contacts are not obligated to respond and NeuroSync Technologies accepts no liability for their failure or inability to respond to an alert.
2.4 Location Data
HEARTBEAT requests access to your device location in order to include location information in emergency alerts sent to your designated contacts. Location data is transmitted directly to your designated contacts at the time of an alert. We do not store your continuous location history on our servers. You may disable location access at any time in your device settings, but this will prevent location from being included in alerts.
2.5 Limitations of Liability for Safety Features
To the fullest extent permitted by applicable law, NeuroSync Technologies Limited accepts no liability for:
- Failure to detect a fall, medical emergency, or other safety event
- False alerts that cause unnecessary alarm or emergency response
- Delays in alert delivery caused by network conditions, device settings, or third-party notification services
- Actions taken or not taken by designated emergency contacts in response to an alert
- Any injury, loss, or damage arising from reliance on HEARTBEAT as the sole means of summoning emergency assistance
Nothing in these Terms limits liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation.
3. General Terms — All Products and Services
3.1 Eligibility
You must be at least 18 years old to use our products and services. By using our services, you confirm that you meet this requirement. Our services are intended for business professionals and personal use by adults. We do not knowingly provide services to individuals under 18.
3.2 Account Registration
Some services require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at hello@neurosync-technologies.ltd if you suspect unauthorised access to your account.
3.3 Acceptable Use
You agree not to use our products or services to:
- Violate any applicable law or regulation
- Transmit false, misleading, or fraudulent information
- Attempt to gain unauthorised access to our systems or other users' accounts
- Interfere with or disrupt the integrity or performance of our services
- Use automated means to access our services in ways that exceed normal usage
- Reverse engineer, decompile, or disassemble any part of our software
- Resell or sublicense our services without our written permission
3.4 Intellectual Property
All intellectual property rights in our products, services, software, content, and branding — including HEARTBEAT, VANTAGE, iXform, iDoAI, ASCEND, iNclus.ion, the NeuroSync Technologies name and logo, and all associated methodologies and documentation — are owned by or licensed to NeuroSync Technologies Limited.
These Terms do not grant you any rights to our intellectual property except the limited right to use our services as described herein. You may not copy, modify, distribute, sell, or lease any part of our services or software.
3.5 Payments and Subscriptions
Paid products and services are subject to the pricing displayed at the time of purchase. All prices are in GBP and inclusive of VAT where applicable. Subscriptions renew automatically unless cancelled before the renewal date. Refunds are handled in accordance with your statutory rights under UK consumer law and any additional refund policy stated at the time of purchase.
3.6 Service Availability
We aim to provide reliable and continuous access to our services, but we do not guarantee uninterrupted availability. We may suspend or modify services for maintenance, security, or operational reasons. We will endeavour to provide advance notice of planned downtime where possible.
3.7 Third-Party Services
Our products may integrate with or link to third-party services (including Apple Health, Google Fit, emergency notification services, and payment processors). We are not responsible for the availability, accuracy, or practices of third-party services. Your use of third-party services is governed by their own terms and privacy policies.
3.8 Data and Privacy
Your use of our services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our services, you consent to the collection and use of your data as described in the Privacy Policy.
3.9 Termination
We may suspend or terminate your access to our services at any time if you breach these Terms, or for any other reason with reasonable notice. You may stop using our services at any time. On termination, your right to use the services ceases immediately. Data retention following termination is governed by our Privacy Policy.
3.10 Limitation of Liability
To the fullest extent permitted by applicable law, NeuroSync Technologies Limited's total liability to you for any claims arising from or related to our services shall not exceed the greater of: (a) the amount you paid us in the twelve months preceding the claim, or (b) £100.
We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or other intangible losses, even if we have been advised of the possibility of such damages.
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.
3.11 Indemnification
You agree to indemnify and hold harmless NeuroSync Technologies Limited, its officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of our services in violation of these Terms or applicable law.
4. iXform Assessment
The iXform diagnostic assessment provides an evaluation of organisational readiness for transformation based on your responses. The results are informational only and do not constitute professional management consultancy, legal, financial, or HR advice. The PROCEED, STABILISE, or STOP outcome is a decision-support tool — final decisions about organisational change remain the sole responsibility of your organisation's leadership.
5. Governing Law and Disputes
These Terms are governed by the laws of England and Wales. Any disputes arising from or related to these Terms or our services shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where applicable consumer protection law provides otherwise.

6. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, notify you via the app or by email. Continued use of our services after changes take effect constitutes your acceptance of the updated Terms.
